Statutory requirements
- Investment account in 15 working days: After the investment licence and/or enterprise registration, open a kip + foreign-currency "investment deposit account" at a commercial bank within 15 working days (Art.5). All FDI money movements — capital inflow, profit/dividend outflow, principal and loan-interest repayment — must go through this dedicated account only. Convert any general account used before; on switching banks, notify the Forex Dept within 10 working days.
- Confirm in 30 days, issued in 5: Capital must be remitted in full per the licence; each inflow must be certified to the Forex Dept within 30 days (matches form #238 + a fund-use plan) (Art.8); the Bank of the Lao PDR issues the inflow certificate within 5 working days of complete documents (Art.9). Provincial-licensed investors may use a BOL regional branch.
- Proof of inflow: three forms: Proof of inflow is one of three (Art.8.5): (1) bank transfer — the inbound remittance advice; (2) cash — the border customs cash-declaration certificate; (3) in-kind — import licence (if any) + purchase order + customs declaration. On the first inflow also report the capital structure to BOL (Art.7), then again whenever it changes by 5% or more.
- No certificate, no repatriation: The critical point: repatriating profit, dividends or residual funds after sale/dissolution (Art.10) requires a copy of the most recent capital-inflow certificate. So if you never certified the inflow (Arts.8/9), you cannot legally take the money out later. Certify every inflow on time — it is what preserves your ability to repatriate. Repatriation also requires state obligations to be fully met and must flow through the investment account.
- Pay in kip inside Laos: When paying for goods, services, tax, dividends, salary or labour inside Laos from the investment account, convert the foreign currency to kip through the banking system and keep the conversion proof (Art.6).
- Prep account before the licence: Before the investment licence/enterprise registration, you may open a "pre-investment prep account" at a commercial bank to cover on-the-ground payments while awaiting approval — vehicle rental, accommodation, office rent, travel, fees and consulting (Art.4). Open the formal investment account within 15 working days of the licence.
