Articles
Article 1
Purpose: The purpose of this Agreement is to implement the content of Article 1.2 of the Prime Minister’s Order No. 02/ນຍ, dated February 1, 2018, on Improving Regulations and Coordination Mechanisms for Conducting Business Operations in the Lao People’s Democratic Republic, ensuring its effective and uniform application nationwide. This aims to create favorable conditions for business operations in enterprise registration, streamline the procedures and time required for enterprise establishment, foster potential for promoting and attracting domestic and foreign investment, and contribute to the growth of national socio-economic development.
Article 2
Enterprise Registration: Enterprise registration refers to the certification of the lawful establishment of enterprises established and operating in the Lao People's Democratic Republic by domestic and foreign individuals and legal entities in accordance with the law, registered once for the entire duration of the enterprise's business operations.
Article 3
Interpretation of Terms: The terms stipulated in this Agreement have the following meanings: 1. Enterprise Registration Certificate refers to the certification document concerning the lawful establishment of a sole proprietorship enterprise or a legal person enterprise; 2. Sole Proprietorship Enterprise Registration refers to the enterprise registration declaration conducted for the establishment of a business unit owned by a single individual, operated under the personal name of the enterprise owner, and bearing unlimited liability for the enterprise’s debts; 3. Partnership Enterprise and Company Registration refers to the enterprise registration declaration conducted for the establishment of a legal person enterprise (such as a general partnership, limited partnership, limited company, joint-stock company, state-owned company, etc.); 4. Legal Person refers to a business unit that has undergone enterprise registration in accordance with the law and possesses complete constituent elements (such as having a name, office address, property and capital, a systematic management organization, bearing liability for debts in the form of an enterprise, having the legal capacity to exercise rights and perform obligations, and being legally capable of acting as a plaintiff or defendant); 5. Business License refers to a document issued by the relevant state authority to an enterprise for business activities requiring a business license, certifying its rights and obligations to operate a certain business; 6. Business Activities Not Requiring a License refer to business activities that the relevant authority permits to be conducted directly without requiring an application for an investment license or business license, i.e., activities not falling within the scope of the control list or those requiring a business license application; 7. Business Activities Requiring a Business License Application refer to business activities that the relevant authority deems necessary for technical professional management or subject to specific conditions; such activities, after completing enterprise registration, must first obtain permission from the relevant authority before operation; 8. Commencement of Business Activities refers to beginning to undertake certain business actions for approved activities, such as leasing premises, hiring labor, applying for a construction permit, or applying for an import/export permit.
