Articles
Article 1
Purpose. This Agreement aims to stipulate the principles, regulations, and measures for the establishment, operation, and management of representative offices of foreign legal entities in the Lao People's Democratic Republic, ensuring their activities comply with the laws and regulations of the Lao People's Democratic Republic, creating conditions to attract and promote foreign investment in the Lao People's Democratic Republic, increasing investment in line with socio-economic development policies of each period, and aiming to promote and protect the legitimate interests of the state, collectives, the people, and foreign investors.
Article 2
Foreign Legal Entity Representative Office. A representative office is a coordinating agency established to conduct investment channel surveys, research trade and service information, provide consultation, coordinate for affiliated company groups or branches, and liaise with parties within the Lao People's Democratic Republic (including both public and private sectors) for the preparation and development of investment activities on behalf of the foreign parent company; it shall also monitor the implementation of memoranda of understanding or contracts signed between the foreign parent company and the government in concession projects, while other types of contracts shall not serve as conditions for establishing a representative office.
Article 3
Definition of Terms. — Foreign legal entity means a company established outside the territory, in the form of a limited company, a one-member limited company, a state enterprise, or a joint-stock company. — Contract with the Government of the Lao People’s Democratic Republic means a memorandum of understanding or contract signed with the Government of the Lao People’s Democratic Republic at the central or local level by the overseas parent company for projects listed in the schedule of concession activities under the Law on Investment Promotion. — Staged renewal means the approval of renewal for a period not exceeding three years per stage; the representative office license shall be renewed annually on a year-by-year basis until the completion of three years.
